About this session

Employee equity can look like one benefit while actually containing several different decisions, dates and tax questions. An employee may receive shares directly, an option to acquire shares later, a performance right, or another right whose value depends on plan conditions.

Grant, vesting, exercise and disposal are different events, and the employee's plan documents determine what actually happens at each stage.

This session gives Australian employees a practical way to understand that lifecycle before they make a financial decision.

Participants learn how to identify the award they have received, locate the conditions that matter, map vesting and exercise dates, understand lapse or forfeiture provisions, and recognize what may change when employment ends or a corporate event occurs.

The session then explains Australian ESS taxation at an employee-literacy level.

Participants distinguish taxed-upfront and tax-deferred questions, understand why an ESS deferred taxing point is not always the same as vesting or employment cessation, learn the role of the Employee Share Scheme statement, and see how later disposal can create a separate capital-gains question.

Tax rules are verified against current ATO guidance and the workshop does not calculate an individual's tax liability or recommend transaction timing.

Finally, participants build a decision-readiness framework around liquidity, tax cash flow, employer-share concentration, trading restrictions, deadlines and professional support.

The goal is to know what you own, what can happen next, what information is still missing and who can answer the unresolved questions — not to tell an employee whether to exercise, hold or sell.

  • Understand liquidity, tax-cash-flow, trading-restriction and employer-concentration considerations before acting
  • Build a practical question-and-record system for HR, payroll, the plan administrator, an Australian tax professional or an appropriately qualified financial adviser

What’s covered

Understand What You Have Been Granted

Every length
  • Identify the equity interest before making a decisionParticipants distinguish direct shares from options, rights, performance rights and other employer-equity arrangements at a practical level.
  • Read the plan documents that control the awardParticipants locate the offer or grant notice, plan rules, vesting schedule, performance conditions, exercise terms, expiry date, disposal restrictions and relevant employer communications.
  • Separate grant, vesting, exercise & ownershipParticipants build the basic sequence from grant or acquisition through vesting and, where relevant, exercise into shares.
  • Distinguish paper value from available cashParticipants examine why the stated or market value of an award is not necessarily money they can immediately spend.

Follow the Award From Grant to Disposal

90 minutes and longer
  • Map the award lifecycleParticipants map the events that can occur across an employee equity award.
  • Track vesting, exercise & expiry conditionsParticipants learn to identify time-based vesting, performance conditions, exercise windows, exercise prices where applicable and expiry dates.
  • Understand what employment changes can do to the planParticipants review the plan questions that can arise when employment ends or changes, including whether unvested awards lapse, vested options have a shortened exercise period, awards remain outstanding, or special leaver provisions apply.
  • Check trading restrictions, liquidity & corporate eventsParticipants examine restrictions on selling or transferring equity, employer trading policies, inside-information boundaries, unlisted-company liquidity and plan provisions that may apply during takeovers, restructures or other corporate events.

Understand Australian ESS Tax & Recordkeeping

3 hours and longer
  • Recognize the main Australian ESS tax pathwaysParticipants learn at a high level that Australian ESS interests can fall into different tax pathways, including taxed-upfront arrangements, qualifying tax-deferred arrangements and eligible start-up-concession treatment.
  • Understand the deferred taxing point without assuming it is vesting or leavingParticipants learn that a deferred ESS taxing point is determined under specific tax rules and does not automatically equal the grant date, vesting date, exercise date or date employment ends.
  • Connect the ESS statement to later tax recordsParticipants learn the purpose of Employee Share Scheme statements and the importance of retaining grant, acquisition, exercise, market-value, tax and disposal information.
  • Separate ESS tax from later capital-gains questionsParticipants understand that the tax treatment of an ESS discount and a later disposal of the ESS interest or resulting shares can be different tax events.

Prepare for an Equity Decision Without Being Told What to Do

Full day only
  • Check liquidity & tax cash flow before actingParticipants examine whether an award requires an exercise payment, whether shares can actually be sold, whether a tax event could occur without equivalent cash proceeds and which future costs or deadlines need to be understood.
  • Make employer-share concentration visibleParticipants identify the special concentration issue created when salary, career progression, bonus or reward and investment exposure are linked to the same employer.
  • Use decision questions instead of share-price predictionsParticipants build a decision checklist covering plan rules, deadlines, exercise cost, available cash, tax questions, liquidity, restrictions, concentration, personal objectives and information still missing.
  • Route each question to the right sourceParticipants distinguish questions for HR or the plan administrator, payroll, the ATO, an Australian tax professional, and an appropriately qualified financial adviser.
