About this session

Employer equity can appear as one line in a compensation package while actually containing several different rights, events and tax questions.

A Canadian employee may receive stock options, restricted share units, performance share units, deferred share units, shares through an employee purchase arrangement, or another award with different conditions and different ways of becoming valuable.

This session gives employees a practical way to understand that structure before making a financial decision.

Participants learn to identify the award they have received, locate the governing plan documents, distinguish grant from vesting, exercise and settlement, identify expiry or forfeiture conditions, and understand what can change when employment ends or the employee becomes subject to trading restrictions.

The session then introduces Canadian equity-compensation taxation at an employee-literacy level.

Participants learn why stock options can have a different tax framework from RSUs, PSUs or DSUs; why CCPC stock options can have different timing from other options; how employment-income taxation can be followed by a separate capital-gains question; and why T4, Quebec, adjusted-cost-base and recordkeeping questions need to be handled carefully.

Current rules are verified from CRA and, where relevant, Revenu Québec before delivery rather than hard-coded into the Marketplace curriculum.

Finally, participants build a decision-readiness framework around exercise cost, settlement mechanics, liquidity, tax cash flow, employer-stock concentration, blackout periods, information still missing and professional support.

The goal is to know what you have, what can happen next and which questions must be answered before acting — not to tell an employee whether to exercise, hold or sell.

What your people take away

  • Identify the stock option, RSU, PSU, DSU, employee share purchase arrangement or other equity award actually provided
  • Follow the award from grant through vesting, exercise or settlement, expiry, cancellation, holding and eventual sale
  • Recognize Canadian employment-tax, security-option, T4, Quebec and later capital-gains questions without receiving individualized tax advice
  • Understand liquidity, tax-cash-flow, trading-restriction and employer-concentration considerations before acting
  • Build a practical question-and-record system for HR, payroll, the plan administrator, CRA, Revenu Québec, a Canadian tax professional or an appropriately qualified financial adviser

What’s covered

Understand What You Have Been Granted

Every length
  • Identify the equity award before making a decisionParticipants distinguish stock options, restricted share units, performance share units, deferred share units, employee share purchase arrangements, direct share awards and other employer-equity structures at a practical level.
  • Read the plan documents that control the awardParticipants locate the grant notice, plan rules, vesting schedule, performance conditions, exercise price where relevant, settlement terms, expiry date, cancellation or forfeiture provisions, transfer restrictions and relevant employer communications.
  • Separate grant, vesting, exercise & settlementParticipants build the basic sequence from grant through vesting and then distinguish what happens next.
  • Distinguish stated value from available cashParticipants examine why an award's stated, modeled or current market value is not necessarily money they can immediately spend.

Follow the Award From Grant to Exercise, Settlement or Sale

90 minutes and longer
  • Map the full equity award lifecycleParticipants map the events that can occur across an employer equity award.
  • Track vesting, performance, exercise & settlement conditionsParticipants learn to identify time-based vesting, performance conditions, exercise windows, exercise prices, settlement dates, cash-versus-share settlement, expiry dates and other award conditions.
  • Understand what employment changes can do to the awardParticipants review the questions that can arise when employment ends or changes, including whether unvested awards are canceled, options have a shortened exercise period, unit awards continue or settle, DSU treatment changes under the applicable plan, or special retirement, termination, disability or death provisions apply.
  • Check blackouts, inside-information rules & liquidityParticipants examine employer trading policies, blackout periods, material non-public information boundaries, transfer restrictions and the availability of a market for the shares.

Understand Canadian Equity Tax & Recordkeeping

3 hours and longer
  • Understand why stock options have their own tax frameworkParticipants learn that Canadian employee security options can create an employment benefit and that the timing can differ depending on the employer and arrangement.
  • Do not apply stock-option rules automatically to RSUs, PSUs or DSUsParticipants learn to treat RSUs, PSUs, DSUs and other unit-based awards according to their actual plan mechanics.
  • Connect equity events to T4, Quebec & personal recordsParticipants learn to retain grant notices, vesting and exercise records, settlement statements, acquisition information, employer payroll records, T4 information, Quebec RL-1 information where relevant and eventual sale documentation.
  • Separate employment income from a later capital gain or lossParticipants understand that the employment benefit created by an equity-compensation event and the gain or loss on a later share sale can be different tax questions.

Prepare for an Equity Decision Without Being Told What to Do

Full day only
  • Check exercise cost, liquidity & tax cash flow before actingParticipants examine whether an option requires cash to exercise, whether unit awards settle automatically, whether shares can actually be sold, whether payroll withholding or another tax payment could affect cash flow, and which future deadlines need to be understood.
  • Make employer-stock concentration visibleParticipants identify the special concentration question created when salary, career progression, bonus or reward and investment exposure are tied to the same employer.
  • Use decision questions instead of share-price predictionsParticipants build a decision checklist covering plan rules, deadlines, exercise or settlement mechanics, available cash, tax questions, liquidity, trading restrictions, concentration, personal objectives and information still missing.
  • Route each question to the right sourceParticipants distinguish questions for HR, compensation teams or the plan administrator.
