About this session
Employer equity can look like one benefit while actually representing very different legal and financial arrangements.
An employee in Germany may receive real shares, a right to acquire shares later, an RSU that may deliver shares after conditions are met, or a virtual participation right that provides economic exposure without making the employee a shareholder.
Understanding which arrangement you have is the starting point for every later question.
This session helps participants read the award before trying to make an investment decision.
Employees identify the plan documents governing the award, distinguish grant from vesting, exercise, transfer, settlement and payout, examine expiry or forfeiture conditions, and understand when an award creates actual share ownership versus a contractual right to future value.
The session then introduces German tax and social-insurance questions at an employee-literacy level. Participants learn why direct employee shares, stock options, RSUs and virtual participation plans should not automatically be taxed in the same way; where § 3 Nr.
39 EStG or § 19a EStG may become relevant to qualifying actual equity; why wage-tax deferral does not automatically mean social-insurance deferral; and why a later sale of actual shares can create a separate tax question from the original employment benefit.
Finally, participants build a decision-readiness framework around exercise or purchase cost, liquidity, potential tax and contribution cash flow, employer-stock concentration, trading restrictions, documentation and professional support.
The goal is to know what you have, what can happen next, what information is still missing and who can answer the unresolved questions — not to tell an employee whether to exercise, hold or sell.

What’s covered
Understand What You Have Been Granted
Every length- Distinguish real equity from economic participationParticipants distinguish direct employee shares, stock options, RSUs, restricted shares and virtual participation plans.
- Read the plan documents that control the awardParticipants locate the grant notice, plan rules, vesting schedule, performance conditions, exercise or purchase price where relevant, transfer or settlement terms, expiry, lapse, forfeiture, leaver provisions and employer communications.
- Separate grant, vesting, exercise, transfer & payoutParticipants build the basic sequence for each award.
- Distinguish displayed value from available cashParticipants examine why the value displayed in a plan portal is not necessarily cash that can be used immediately.
Follow the Award From Grant to Ownership, Payout or Sale
90 minutes and longer- Map the full award lifecycleParticipants map the events that can occur across direct shares, options, RSUs and virtual participation.
- Track vesting, exercise, transfer & expiry conditionsParticipants identify time-based vesting, performance conditions, exercise windows, exercise or purchase prices, transfer requirements, settlement dates, payout conditions and expiry dates.
- Understand what employment changes can do to the awardParticipants review the plan questions that can arise when employment ends or changes, including whether unvested awards lapse, vested options have a shortened exercise period, actual shares must be offered back, RSUs settle or lapse, virtual participation remains outstanding or special good-leaver / bad-leaver provisions apply.
- Check trading restrictions, inside information & liquidityParticipants examine holding and transfer restrictions, employer dealing policies, market-abuse / insider-information boundaries, pre-clearance requirements where applicable and the availability of a market for actual shares.
Understand German Equity Tax, Social Insurance & Records
3 hours and longer- Distinguish general employment tax from special employee-equity rulesParticipants learn that a free or discounted employer-equity benefit can create taxable Arbeitslohn / a geldwerter Vorteil and that special provisions such as § 3 Nr.
- Treat options, RSUS & virtual participation separatelyParticipants learn that granting a non-tradable option does not generally create the same tax event as exercising it, that RSU or restricted-share timing can depend on when economic ownership passes, and that simple virtual participation is a contractual compensation arrangement rather than qualifying actual Vermögensbeteiligung.
- Separate wage-tax deferral from social-insurance treatmentParticipants learn that § 19a can defer wage taxation for certain qualifying actual equity but does not automatically defer social-insurance treatment.
- Separate the employment benefit from later share-sale taxParticipants understand that receiving actual shares through employment can create an employment-income question and that a later sale of those shares can create a separate capital-income or significant-participation tax question.
Prepare for an Equity Decision Without Being Told What to Do
Full day only- Check exercise cost, liquidity & dry-income riskParticipants examine whether an award requires cash to exercise or purchase shares, whether actual shares can be sold, whether a virtual award pays cash automatically, and whether wage-tax or social-insurance obligations could arise without equivalent sale proceeds.
- Make employer-stock concentration visibleParticipants identify the special concentration question created when salary, career progression, variable reward and actual investment exposure depend on the same employer.
- Use decision questions instead of share-price predictionsParticipants build a decision checklist covering plan rules, deadlines, exercise or purchase mechanics, actual ownership, available cash, tax and social-insurance questions, liquidity, trading restrictions, concentration, personal objectives and information still missing.
- Route each question to the right sourceParticipants distinguish questions for HR or Compensation, the plan administrator, payroll, German tax guidance, a Steuerberater, social-insurance / payroll specialists, compliance or legal support, and an appropriately qualified financial adviser.
