About this session
Employee equity can appear as one line in a compensation package while actually containing several different rights, dates and financial events.
An employee in India may receive a stock option, an RSU, shares through an employee purchase arrangement, a stock appreciation right, sweat equity, or shares in a foreign parent company. Those arrangements do not all work in the same way.
This session helps participants understand the award before trying to make an investment decision.
Employees identify what they have actually received, locate the documents governing it, distinguish grant from vesting, exercise, allotment, transfer and settlement, examine expiry or forfeiture conditions, and understand when an award results in actual share ownership rather than only a future right or cash-linked benefit.
The session then introduces Indian tax and regulatory questions at an employee-literacy level.
Participants learn why employer-provided securities can create a taxable salary perquisite, why ESOP taxation can involve both an employment-tax stage and a later capital-gains stage, why current eligible-start-up deferment rules need to be checked against the relevant tax year, and why listed, unlisted and foreign-parent-company plans can sit within different regulatory frameworks.
Finally, participants build a decision-readiness framework around exercise or purchase cost, liquidity, potential TDS and tax cash flow, employer-stock concentration, dealing restrictions, documentation, FEMA / foreign-equity questions and professional support.
The goal is to know what you have, what may happen next, what information is still missing and who can answer the unresolved questions — not to tell an employee whether to exercise, hold or sell.

What’s covered
Understand What You Have Been Granted
Every length- Identify the award before making a decisionParticipants distinguish employee stock options, RSUs, direct employee shares, employee share-purchase arrangements, stock appreciation rights, sweat equity and foreign-parent-company awards at a practical level.
- Distinguish actual shares from future or cash-linked rightsParticipants identify whether the award provides actual shares now, an option to acquire shares later, a future share-settlement right, or a cash-linked benefit such as certain stock appreciation rights.
- Read the plan documents that control the awardParticipants locate the grant notice, plan rules, vesting schedule, performance conditions, exercise or purchase price where relevant, allotment or settlement terms, expiry, lapse, forfeiture, leaver provisions, lock-ins, transfer restrictions and relevant employer communications.
- Distinguish displayed value from available cashParticipants examine why an award's stated or current market value is not necessarily money they can immediately spend.
Follow the Award From Grant to Allotment, Settlement or Sale
90 minutes and longer- Map the full award lifecycleParticipants map the events that can occur across an employee-equity award.
- Track vesting, exercise, allotment & settlement conditionsParticipants identify time-based vesting, performance conditions, exercise windows, exercise or purchase prices, allotment timing, share-versus-cash settlement, expiry dates and other award conditions.
- Understand what employment changes can do to the awardParticipants review questions that can arise when employment ends or changes, including whether unvested awards lapse, vested options have a shortened exercise period, RSUs settle or are forfeited, outstanding rights continue, or special leaver provisions apply.
- Check lock-ins, trading restrictions & liquidityParticipants examine lock-ins, transfer restrictions, listed-company dealing policies, unpublished price-sensitive-information boundaries, pre-clearance requirements where relevant and the availability of a market for the shares.
Understand Indian Equity Tax, Regulation & Records
3 hours and longer- Separate the employment perquisite from the later share saleParticipants learn that employer-provided securities can create a taxable salary perquisite and that a later sale of actual shares can create a separate capital-gains question.
- Understand fmv, TDS & eligible start-up deferment at a literacy levelParticipants learn why fair market value and the amount paid by the employee can matter to the employment-perquisite calculation and why payroll / TDS can create a cash-flow question.
- Connect the employment-tax value to later capital-gains recordsParticipants learn that the fair market value already used for employee-equity perquisite taxation can become the cost of acquisition for later capital-gains purposes under the current framework and that holding-period questions begin from allotment or transfer rather than option grant.
- Distinguish listed, unlisted & foreign-parent regulatory questionsParticipants learn that listed-company employee schemes can fall within SEBI's share-based employee-benefit framework, while unlisted-company options operate through Companies Act and applicable rules.
Prepare for an Equity Decision Without Being Told What to Do
Full day only- Check exercise cost, liquidity & tax cash flowParticipants examine whether an award requires cash to exercise or purchase shares, whether allotted shares can actually be sold, whether an award settles automatically, and whether perquisite tax or TDS could affect cash flow before equivalent sale proceeds are available.
- Make employer-stock concentration visibleParticipants identify the special concentration question created when salary, career progression, variable compensation and investment exposure depend on the same employer or corporate group.
- Use decision questions instead of share-price or IPO predictionsParticipants build a decision checklist covering plan rules, vesting, deadlines, exercise cost, allotment or settlement, available cash, tax and TDS questions, liquidity, lock-ins, trading restrictions, concentration, foreign-parent complexity, personal objectives and information still missing.
- Route each question to the right sourceParticipants distinguish questions for HR or Compensation, the plan administrator, payroll, the Income Tax Department, a CA or qualified Indian tax professional, RBI / FEMA or cross-border specialists where relevant, compliance / legal support, and an appropriately qualified financial adviser.
