About this session
Employer equity can look like one benefit while actually representing several different rights and tax events.
An employee in Singapore may receive an option to acquire shares later, an RSU or another share award that delivers shares after conditions are met, a direct share award, a foreign-parent-company award, or a cash-linked plan that never creates share ownership.
Understanding the arrangement comes before deciding what to do with it.
This session helps participants identify what they have actually received, locate the documents governing it, distinguish grant from vesting, exercise, share delivery and settlement, understand selling restrictions and expiry conditions, and see when an arrangement creates actual ownership rather than only a future or cash-linked entitlement.
The session then introduces Singapore employee-equity taxation at a practical literacy level.
Participants learn why options and share awards can have different tax points, how selling restrictions can alter the ordinary timing, why foreign-parent awards can still create Singapore employment income, and why QEEBR tax deferment, foreign-employee deemed exercise and employer Tracking Option arrangements are specialist rules rather than ordinary investment choices.
Historic ERIS incentives are clearly separated from the current framework.
Finally, participants bring tax, CPF, liquidity, departure, employer-stock concentration, trading restrictions and recordkeeping into one decision-readiness framework.
The goal is to know what you have, what can happen next, which facts still need verification and who can answer the unresolved questions — not to tell an employee whether to participate, exercise, hold or sell.

What’s covered
Understand What You Have Been Granted
Every length- Identify the award before making a decisionParticipants distinguish Employee Share Options, RSUs and other ESOW share awards, direct employee shares, restricted shares, employee share-purchase arrangements and cash-linked plans at a practical level.
- Distinguish options, share ownership & cash-linked awardsParticipants identify whether they currently own shares, hold an option to acquire shares later, expect future share delivery after vesting, or have only a cash payment linked to share value.
- Read the plan documents that control the awardParticipants locate the grant notice, plan rules, vesting schedule, performance conditions, exercise or purchase price, share-delivery terms, selling restrictions or moratoria, expiry, lapse, forfeiture, leaver provisions and employer communications.
- Distinguish displayed value from available cashParticipants examine why an award's displayed or current market value is not necessarily cash they can immediately use.
Follow the Award From Grant to Ownership, Settlement or Sale
90 minutes and longer- Map the full award lifecycleParticipants map grant, vesting, option exercise, share delivery, ownership, selling restrictions, settlement, expiry, lapse, forfeiture, holding and eventual sale.
- Track vesting, exercise, delivery & selling restrictionsParticipants identify vesting conditions, exercise windows, exercise or purchase prices, share-delivery dates, restrictions on disposal, settlement terms and expiry dates.
- Separate plan leaver rules from Singapore tax-clearance rulesParticipants review what the plan says may happen when employment ends, including lapse, forfeiture, shortened exercise periods or continued rights.
- Check trading restrictions, inside information & liquidityParticipants examine employer dealing policies, inside-information boundaries, selling restrictions, transfer limitations and whether an actual market exists for the shares.
Understand Singapore Equity Tax, CPF & Records
3 hours and longer- Understand why ESOP & ESOW have different tax pointsParticipants learn that an ordinary ESOP gain is generally taxed on exercise, while an ESOW share award with vesting is generally taxed on vesting and an ESOW award without vesting can be taxed on grant.
- Understand how selling restrictions can change tax timingParticipants learn that a genuine restriction on selling shares can move the ordinary tax point until the restriction is lifted.
- Distinguish QEEBR deferment from historical ERIS incentivesParticipants learn that the current QEEBR framework can allow qualifying employees to defer payment of tax on qualifying ESOP or ESOW gains for a limited period with interest, subject to current conditions.
- Separate income tax, CPF & later share-sale questionsParticipants learn that IRAS employment-income treatment and CPF treatment are not identical.
Prepare for an Equity Decision Without Being Told What to Do
Full day only- Check exercise cost, liquidity & tax cash flowParticipants examine whether an award requires cash to exercise or purchase shares, whether delivered shares can actually be sold, whether a selling restriction delays liquidity, and whether income tax could arise before equivalent sale proceeds are available.
- Make employer-stock concentration visibleParticipants identify the concentration question created when salary, career progression, variable reward and investment exposure depend on the same employer or corporate group.
- Use decision questions instead of share-price predictionsParticipants build a decision checklist covering plan rules, vesting, exercise, selling restrictions, available cash, tax, CPF, departure, liquidity, employer concentration, personal objectives and information still missing.
- Route each question to the right sourceParticipants distinguish questions for HR or Reward, the plan administrator, payroll / tax reporting, IRAS, CPF Board, a qualified Singapore tax professional, compliance or legal support, and an appropriately qualified financial adviser.
