About this session

Employer equity can look like one benefit while actually representing several different rights, dates and tax questions.

An employee in Spain may receive a stock option, an RSU, direct or discounted shares, an employee share-purchase opportunity, equity in an empresa emergente, or a cash-linked award that never creates share ownership.

Understanding the arrangement comes before deciding what to do with it.

This session helps participants identify what they have actually received, locate the documents governing it, distinguish grant from vesting, exercise, share delivery, acquisition and settlement, identify expiry or forfeiture conditions, and understand when an award results in actual share ownership rather than only a future or cash-linked right.

The session then introduces Spanish equity taxation at an employee-literacy level.

Participants learn why employer shares can be employment remuneration in kind, why non-transferable stock options need to be distinguished from grant and vesting, why RSUs and direct-share awards must be characterized from their actual mechanics, and how qualifying employee-share and startup-equity rules can create specific exemption, valuation and timing questions.

IRPF and Social Security are treated as separate systems rather than assumed to produce the same result.

Finally, participants connect employment taxation with later share-sale records and build a decision-readiness framework around exercise or purchase cost, liquidity, potential tax and contribution cash flow, employer-stock concentration, trading restrictions, jurisdiction and professional support.

The goal is to know what you have, what may happen next, which facts still need verification and who can answer the unresolved questions — not to tell an employee whether to participate, exercise, hold or sell.

What’s covered

Understand What You Have Been Granted

Every length
  • Identify the award before making a decisionParticipants distinguish stock options, RSUs, direct employee shares, discounted shares, employee share-purchase arrangements, startup equity and cash-linked awards at a practical level.
  • Distinguish actual shares from options, units & cash-linked rightsParticipants identify whether they already own shares, hold an option to acquire shares later, expect future share delivery through an RSU or similar arrangement, or have only a contractual cash-linked right.
  • Read the plan documents that control the awardParticipants locate the grant notice, plan rules, vesting schedule, performance conditions, exercise or purchase price, share-delivery or settlement terms, expiry, lapse, forfeiture, leaver provisions, holding or disposal restrictions and employer communications.
  • Distinguish displayed value from available cashParticipants examine why an award's stated or current market value is not necessarily cash they can immediately spend.

Follow the Award From Grant to Ownership, Settlement or Sale

90 minutes and longer
  • Map the full award lifecycleParticipants map the events that can occur across an equity award.
  • Track vesting, exercise, delivery & restrictionsParticipants identify vesting conditions, exercise windows, exercise or purchase prices, share-delivery dates, settlement terms, holding or disposal restrictions and expiry dates.
  • Understand what employment changes can do to the awardParticipants review the questions that can arise when employment ends or changes, including whether unvested awards lapse, vested options have a shortened exercise period, shares become subject to repurchase, awards continue, or special leaver provisions apply.
  • Check trading restrictions, inside information & liquidityParticipants examine employer dealing policies, inside-information boundaries, pre-clearance requirements where relevant, holding or transfer restrictions and whether an actual market exists for the shares.

Understand Spanish Equity Tax, Social Security & Records

3 hours and longer
  • Identify the employment-tax event before applying a ruleParticipants learn that free or discounted employer equity can be remuneration in kind and that the relevant event depends on the actual award.
  • Understand employee-share exemption & startup-equity questionsParticipants learn that qualifying employee share deliveries can receive specific IRPF treatment subject to statutory conditions and that qualifying empresa-emergente awards have a separate framework covering exemption, valuation and timing.
  • Keep IRPF & Social Security separateParticipants learn that IRPF and Spanish Social Security operate under different statutory rules.
  • Separate employment equity from the later share saleParticipants understand that the employment-related share event and a later disposal can be separate tax questions.

Prepare for an Equity Decision Without Being Told What to Do

Full day only
  • Check exercise cost, liquidity & tax cash flowParticipants examine whether an award requires cash to exercise or purchase shares, whether delivered shares can actually be sold, whether a startup or unlisted share is illiquid, and whether IRPF, ingreso a cuenta or Social Security obligations could affect cash flow before equivalent sale proceeds are available.
  • Make employer-stock concentration visibleParticipants identify the concentration question created when salary, career progression, variable compensation and investment exposure depend on the same employer or corporate group.
  • Use decision questions instead of share-price predictionsParticipants build a decision checklist covering plan rules, vesting, deadlines, exercise or purchase cost, share delivery, tax, Social Security, liquidity, employer concentration, dealing restrictions, jurisdiction and information still missing.
  • Route each question to the right sourceParticipants distinguish questions for HR / Reward, the plan administrator, payroll, AEAT or the relevant foral authority, Seguridad Social / payroll specialists, a qualified Spanish tax professional, compliance or legal support, and an appropriately qualified financial adviser.
