About this session

Employer equity can look like one benefit while actually representing several different legal and financial arrangements.

An employee in Mexico may receive a stock option, an RSU, a direct or discounted share award, an employee share purchase opportunity, a cash-settled award or shares in a foreign parent company. Those arrangements do not all create the same rights or tax events.

This session helps participants understand the award before trying to make an investment decision.

Employees identify what they have actually received, locate the documents governing it, distinguish grant from vesting, exercise, share acquisition, delivery and settlement, identify expiry or forfeiture conditions, and understand when an award produces actual share ownership rather than only a future or cash-linked right.

The session then introduces Mexican employee-equity taxation and payroll at a practical literacy level.

Participants learn why Mexican law contains a specific employment-income rule for employer or related-party stock options, why RSUs and other share awards should not automatically be forced into the option formula, when payroll or foreign-source tax questions may arise, and why a later sale of actual shares is a separate tax event requiring its own records.

Finally, participants build a decision-readiness framework around exercise or purchase cost, liquidity, potential ISR and social-security cash flow, employer-stock concentration, trading restrictions, foreign-parent complexity, documentation and professional support.

The goal is to know what you have, what may happen next, what information is still missing and who can answer the unresolved questions — not to tell an employee whether to participate, exercise, hold or sell.

What your people take away

  • Recognize Mexican ISR, payroll, IMSS, later share-sale and cross-border questions without receiving individualized tax advice
  • Understand liquidity, tax-cash-flow, securities-law, trading-restriction and employer-concentration considerations before acting
  • Build a practical question-and-record system for HR, payroll, the plan administrator, SAT, qualified tax support, compliance / legal specialists or an appropriately qualified financial adviser

What’s covered

Understand What You Have Been Granted

Every length
  • Identify the award before making a decisionParticipants distinguish stock options, RSUs, direct share awards, restricted shares, employee share purchase arrangements, phantom equity and cash-settled awards at a practical level.
  • Distinguish actual shares from options, units & cash-linked rightsParticipants identify whether they already own shares, hold an option to acquire shares later, expect a future share delivery through an RSU or similar award, or hold only a contractual cash-linked right.
  • Read the plan documents that control the awardParticipants locate the grant notice, plan rules, vesting schedule, performance conditions, exercise or purchase price where relevant, delivery or settlement terms, expiry, lapse, forfeiture, leaver provisions, transfer restrictions and employer communications.
  • Distinguish displayed value from available cashParticipants examine why an award's stated or current market value is not necessarily money they can immediately spend.

Follow the Award From Grant to Exercise, Delivery, Settlement or Sale

90 minutes and longer
  • Map the full award lifecycleParticipants map the events that can occur across an equity award.
  • Track vesting, exercise, delivery & settlement conditionsParticipants identify time-based vesting, performance conditions, exercise windows, exercise or purchase prices, share-delivery dates, cash-versus-share settlement, expiry dates and other award conditions.
  • Understand what employment changes can do to the awardParticipants review the questions that can arise when employment ends or changes, including whether unvested awards lapse, vested options have a shortened exercise period, RSUs continue or are forfeited, awards settle early, or special leaver provisions apply.
  • Check transfer restrictions, inside information & liquidityParticipants examine transfer restrictions, employer dealing policies, privileged-information boundaries, pre-clearance requirements where applicable and whether an actual market exists for the shares.

Understand Mexican Equity Tax, Payroll & Records

3 hours and longer
  • Understand the specific stock-option employment-income ruleParticipants learn that Mexican tax law expressly treats the exercise of certain employer or related-party options as employment-related income and measures the Article 94 option benefit using market value at exercise compared with the price established when the option was granted.
  • Do not force RSUS, direct shares or espps into the option formulaParticipants learn that RSUs, direct or discounted shares, ESPPs, restricted shares and cash-linked awards must first be characterized from their actual terms.
  • Connect the equity event to payroll, CFDI & social-security questionsParticipants learn why an equity event can create ISR withholding, payroll and CFDI de nómina questions and why compensation from a foreign payer can require a different payment process.
  • Separate employment income from the later share-sale tax questionParticipants understand that the employment-related equity event and a later sale of actual shares can be separate tax questions.

Prepare for an Equity Decision Without Being Told What to Do

Full day only
  • Check exercise cost, liquidity & tax cash flowParticipants examine whether an award requires cash to exercise or purchase shares, whether delivered shares can actually be sold, whether an award settles automatically, and whether ISR, payroll or social-security obligations could affect cash flow before equivalent sale proceeds are available.
  • Make employer-stock concentration visibleParticipants identify the concentration question created when salary, career progression, variable compensation and investment exposure depend on the same employer or corporate group.
  • Use decision questions instead of market or currency predictionsParticipants build a decision checklist covering plan rules, vesting, deadlines, exercise or purchase cost, share delivery or settlement, available cash, ISR and payroll questions, liquidity, trading restrictions, employer concentration, foreign-parent complexity and information still missing.
  • Route each question to the right sourceParticipants distinguish questions for HR or Compensation, the plan administrator, payroll, SAT, a qualified Mexican tax professional, IMSS / payroll specialists, compliance or legal support, and an appropriately qualified financial adviser.
